1. About these terms
This website is operated by Emperor Source (“Emperor Source”, “we”, “us” or “our”), a U.S.-based wholesale distributor located at 400 Ravinia Place, Suite B, Orland Park, Illinois 60462. These Terms & Conditions apply to your use of the website, to inquiries you submit and to any order you place with us. Our Shipping & Delivery Policy and Privacy Policy form part of these terms. If a written order confirmation contains different terms, the order confirmation takes priority for that order.
2. Using this website
This website is intended for businesses buying at wholesale. By using it, you confirm that you are at least 18 years old and that the information you provide is accurate. You agree not to:
- use automated tools to copy the catalog or submit forms;
- use our inquiry, contact or chat forms to send marketing, advertising or service solicitations;
- submit false, misleading or third-party information without permission;
- interfere with the website’s security or operation.
We may decline inquiries or restrict access where we believe these terms have been broken.
3. Inquiries are not orders
Adding products to your Inquiry List and submitting an inquiry is a request for a quotation. It does not create a contract or reserve stock or production capacity. We may accept, modify or decline any inquiry.
4. Quotations & pricing
Prices are not published on this website. We provide pricing, estimated lead times and shipping costs in a written quotation. Unless stated otherwise, quotations are valid for 30 days and are subject to availability, production capacity and freight conditions at the time of confirmation. We may correct obvious errors in a quotation before an order is confirmed. Prices are in U.S. dollars and exclude any duties, taxes or charges not listed in the quotation.
5. Order confirmation
An order is binding only when both you and Emperor Source have approved a written order confirmation or pro forma invoice. Changes requested after confirmation — to quantities, variations, packaging or delivery — may affect price and lead time and require our written agreement. Once production has started, orders for custom, private-packaged or made-to-order products may not be cancelled; any cancellation we agree to may be subject to charges for materials and work already completed.
6. Minimum order quantities
Each product shows a minimum order quantity (MOQ). Some manufacturers also have minimum shipment requirements, which we explain in your quotation. If a requested quantity is below a minimum, we keep the item in your inquiry for review, but we cannot guarantee that it can be supplied.
7. Samples
Samples are available for eligible products. Sample minimums may apply, sample costs are quoted in advance and shipping is charged separately. Samples represent the product’s design and quality; production items may vary slightly as described in section 9.
8. Payment
No payment is collected through this website. Payment terms — including any deposit, balance due dates and accepted payment methods — are set out in your order confirmation. Production may begin only after an agreed deposit is received, and goods may be released for shipment only after any balance due before shipment is paid. We will never ask for card details through a website form, chat or email.
9. Product information
We work to keep product descriptions, specifications and images accurate. Images are for illustration, and colors may appear differently on screens. Natural and handmade products — such as olive wood, ceramics, natural stone, glass and soap — vary in grain, color, size and finish, and these variations are not defects. Dimensions and weights are subject to normal manufacturing tolerances. Certifications are displayed only when verified by our team, and copies are available on request.
10. Shipping, risk & title
Delivery is arranged as described in our Shipping & Delivery Policy and your order confirmation. Unless the order confirmation states otherwise, risk of loss passes to you when the goods are delivered to the agreed address or made available at the agreed port, and title passes to you when the goods have been paid for in full. Consolidated shipments are subject to availability and are confirmed in your quotation.
11. Inspection, claims & returns
Please inspect goods on delivery and report damage, shortages or items that do not match your order confirmation within 7 days, with photos and your reference number. If we confirm that goods are defective or do not conform to the order confirmation, we will, at our option, replace them, issue a credit or refund the price of the affected items. Because products are supplied to order at wholesale, goods that are free of defects and conform to the order cannot be returned unless we agree in writing.
12. Confidential sourcing
Emperor Source manages all manufacturer relationships, and manufacturer identities are kept confidential. If you learn a manufacturer’s identity through labeling, shipping documents or otherwise in connection with an order, you agree not to use that information to purchase the same or substantially similar products directly from that manufacturer, bypassing Emperor Source, for 24 months after your last order with us.
13. Intellectual property
The content of this website — including text, product descriptions, images, graphics, and the Emperor Source name and logo — belongs to Emperor Source or its licensors. You may view and print pages for your own business purchasing. You may not copy, republish or use our content for commercial purposes without written permission.
14. Limitation of liability
To the fullest extent permitted by law, Emperor Source is not liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, business or goodwill. Our total liability for any claim relating to an order is limited to the amount you paid for the specific goods giving rise to the claim. The website is provided “as is”; we do not guarantee that it will be uninterrupted or error-free. Nothing in these terms limits liability that cannot be limited by law.
15. Governing law
These terms and any order are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction. Before starting any proceedings, both parties agree to try in good faith to resolve the dispute by discussion.
16. Changes & contact
We may update these terms from time to time. The version shown on this page, with its “last updated” date, applies to inquiries submitted after that date. Confirmed orders remain subject to the terms in force when they were confirmed.
